AUTOXPERT UK · GARAGE GROWTH
Business service terms
Version 1.0 · 29 October 2026. These terms are for one-off business orders. Each job needs a completed order with the customer identity, exact scope, total, dates and payment stages, supplied with these terms before written acceptance. Reading this page or making an enquiry does not create a contract.
Supplier: James Maclachlan trading as AutoXpert UK, 40 Woodmuir Place, Breich, EH55 8JP, United Kingdom. Email: autoxpertuk@gmail.com.
Payment at a glance
Social £149: £74.50 to start, £74.50 after proof approval and before final files. Bundle £249: £124.50 to start, £124.50 after social proof and Google plan approval, before final files or submissions. Google-only £99/£149: the full agreed price before starting, with proposed changes approved before submission. Final-stage invoices are due within 7 calendar days of approval and invoice. The accepted order confirms tax treatment and the total payable.
1 Agreement and business use
These terms apply to one-off business-to-business services described in the accepted order. “We” means the supplier identified in the completed order and “you” means the named customer. A sole trader must be named personally, with their trading name. The completed order takes priority over these terms only for specific changes expressly agreed by both parties. Marketing samples and informal discussions do not expand the agreed scope. If you are buying mainly for personal purposes, tell us before acceptance; these business terms are not suitable and do not remove any consumer rights that apply.
2 What the packages include
Setup £99: checks for an existing or duplicate profile and eligibility, then assistance with one eligible new location, core business details, a description, suitable category, up to 10 services and up to 10 supplied photos, owner verification guidance and handover. Optimisation £149: one accessible existing profile, a details/category review, description, up to 15 services and 10 supplied photos, review-request wording and a change summary. Social £149: 10 original branded static graphics, 10 captions and posting order for your own accounts. Bundle £249: the social pack and one selected Google service, not both. The accepted order records the selected items and any agreed limits.
3 What is outside the price
No automatic posting, replies, account management, monitoring, maintenance, paid advertising, photography, videos, website changes, additional locations, suspension appeals, ownership disputes, account recovery or editable artwork is included. Third-party purchases or extra work require an agreed written price and timing before we incur them. You may use our free sample without ordering, but it is not licensed for publication as your own business content.
4 Your information and our standard of care
We will perform the agreed services with reasonable care and skill. You will supply accurate business details and assets you have permission to use, appoint one authorised contact and review drafts. We will raise concerns we identify and may decline misleading, unsafe or unlawful claims. Your approval does not excuse our own errors or remove obligations imposed by law. Do not send passwords, verification codes or unnecessary customer or staff data.
5 Dates and revisions
We agree dates after checking the required information and access. Tell us promptly about delays; we will do the same and agree revised dates where needed. One consolidated revision round within the original brief is included for each selected service, requested within 7 calendar days of receiving its draft unless the order says otherwise. Correcting our failure to meet the agreed brief is not a chargeable extra or limited to that round. New concepts, services, formats or changes to previously approved facts require a separate written change quote. No response is not approval.
6 Payment and release
The total and tax treatment are fixed in the accepted order. Social and bundle work use the two payments recorded in the completed order. The second payment is invoiced after written approval of the complete proofs and, for a bundle, the Google change plan; it is due within 7 calendar days and before release or submission. Google-only work is paid in full before starting, with the change plan approved before submission. Advance payments are credited to the price and are not automatically forfeited. We provide an invoice and receipt or payment confirmation. Undisputed amounts must be paid; a genuine disputed part can be held while we investigate if you explain it promptly in writing.
7 Proofs and separate permission to publish
Until payment and handover, drafts are for private review only: do not publish, distribute, copy out captions for use or remove watermarks. We supply the agreed final files after cleared payment, normally within 2 working days of final approval and payment unless a later date is agreed. Google actions are submitted only within your written authorisation after payment. The customer publishes social content. Google profile ownership and access are never held as security for payment.
8 If either party cancels
Either party may cancel by email. If you cancel before work starts, we refund the advance less only any specific non-recoverable third-party cost you authorised in writing. After work starts, you pay the reasonable value of work actually performed within the agreed brief and approved non-recoverable costs, allowing for costs saved and avoiding double recovery. We provide an itemised explanation using the component values agreed in the order; the charge cannot exceed the total agreed price plus separately approved extras. We refund any excess advance within 14 calendar days of agreeing the account. No unearned balance or automatic cancellation penalty is due. If we cancel without your breach, we refund the undelivered part; you may accept useful completed work at an agreed value. These arrangements do not limit remedies for our breach.
9 Pauses and overdue amounts
We may pause unperformed work or withhold undelivered files for overdue undisputed payment after a written reminder and 7 calendar days to resolve it. We may pause if essential information or access is missing. After 30 days without a response, we send a final notice giving 14 days to respond before closing the job and applying clause 8. Silence never means acceptance or automatic forfeiture. Any restart fee or revised timetable needs prior written agreement. Statutory late-payment interest and compensation may be claimed only when legally applicable to the qualifying debt; advance invoices are not automatically subject to those charges merely because they are unpaid.
10 Google profile authority and limits
Google Business Profile itself is free; our fee pays for our work. We are independent of Google. You keep primary ownership and complete any required verification yourself. Give access only through Google owner/manager invitations and only for the named profile. We do not pre-claim or withhold a profile. Changes need your documented approval. We distinguish prepared, approved, submitted, accepted and pending items in the handover; submission does not mean acceptance. Within 7 calendar days of handover, we provide one status update on pending submissions if any; continuing monitoring, appeals or resubmission work is not included. We remove our access promptly after handover, normally within 2 working days, and immediately on request where we control removal. You may remove our access at any time.
11 Outcomes and platform decisions
We do not guarantee Google verification, eligibility, edit acceptance, visibility, rankings, reach, enquiries, bookings or sales. Platform decisions and later policy changes are outside our control; we remain responsible for our own performance of the agreed services. If eligibility or access prevents meaningful work, we stop and agree a changed scope or settle the unperformed work under clause 8. Do not create duplicate profiles or invented reviews. Read Google’s third-party notice: Google notice about working with third parties
12 Use of your assets and finished work
You retain rights in your logos, photos and other supplied material and give us permission to use it only to perform this order. You confirm the necessary permissions, including for identifiable people and customer work. After full payment, to the extent we hold the necessary rights, you receive a perpetual, worldwide, royalty-free, non-exclusive licence to use, reproduce and adapt the final approved graphics and captions to promote your own business, including through your appointed marketing provider. You may not resell our templates or stock assets as standalone products. Editable source files, working drafts, reusable methods and pre-existing templates remain ours unless separately agreed. Third-party assets remain subject to disclosed licence limits; we obtain rights suitable for the agreed use before including them. We do not promise exclusive rights or copyright protection in AI-generated elements.
13 Imagery and portfolio permission
Real workshop photos are preferred. Any generated image must be agreed and must not be represented as your actual staff, premises, completed repair or customer result. We will identify material generated imagery at review. We will not publish your name, logo, work or results in our portfolio or case studies without separate written permission. No permission is assumed from payment or acceptance.
14 Confidentiality and personal information
Each party will protect the other’s non-public business information and use it only for this job, except where law requires disclosure. We use business contact, agreement and payment records to run and evidence the transaction under the privacy notice at our website /privacy. Customer databases, inboxes, review management and sensitive personal data are outside the standard scope. Avoid personal data in supplied images where possible. Before any work that involves processing personal data on your behalf, the parties must identify their roles and agree a separate UK GDPR Article 28 schedule where required, including the data, purpose, security, approved processors, transfers, assistance, incident reporting and deletion. This clause alone is not that schedule. We do not upload identifiable client material to AI or other third-party tools without an agreed lawful arrangement.
15 Problems and remedies
Report a problem to autoxpertuk@gmail.com with the order reference and examples. We aim to acknowledge within 2 working days and give a substantive response within 10 working days, or explain when we can. We will have a reasonable opportunity to correct work that does not meet the agreed brief. If correction is impossible or not completed within a reasonable time, an appropriate refund or price reduction for the affected work may be due. This does not remove other legal remedies. Please report visible file problems within 14 days of handover so we can resolve them quickly; this is not a cut-off for legal rights. Nothing prevents a genuine payment dispute or lawful card-provider claim.
16 Responsibility and liability
Each party is responsible for loss caused by its own breach, subject to applicable law and any valid limitation below. We do not accept responsibility for a third-party decision merely because it follows our work, but remain responsible where our breach caused the loss. Neither party is liable for indirect or consequential loss. Subject to the exceptions below and only so far as fair, reasonable and lawful, our total aggregate liability arising from this order is limited to the greater of £5,000 or twice the total fee payable. This does not limit liability for death or personal injury caused by negligence or breach of duty, fraud or fraudulent misrepresentation, deliberate misconduct, or anything that cannot lawfully be limited. It does not limit refunds due under these terms. Nothing makes a term enforceable where the law requires a different result.
17 Ending the agreement and resolving disputes
A party may end the agreement for a material breach not remedied within 14 calendar days of written notice, or immediately if it cannot be remedied. Accrued payment obligations, valid usage rights, confidentiality and legal remedies continue. The parties will first try to resolve disputes by email and may agree mediation; this does not prevent urgent court relief. Scots law governs and the Scottish courts have non-exclusive jurisdiction, subject to any mandatory rights or jurisdiction rules. A legally ineffective provision is severed only so far as lawful; the remainder continues. Amendments need both parties’ written agreement. A working day is Monday to Friday excluding Scottish bank holidays. This is a one-off job, not a franchise, partnership, agency appointment or subscription.
